1) No translation project will be undertaken in the absence of a purchase order (or equivalent, electronic or hard copy) clearly stating the following information:
- Client’s full name, address and phone number
- Name of person responsible for translation
- Short description of job to be done (file name, word count and format of delivery are quite sufficient)
- Expected delivery date
- Delivery email address
- Total rate and (if applicable) per hour and per word rates
- Terms of payment (my standard terms are 30 days net)
2) Any payments not received within 10 days of the due date mentioned on the PO will be deemed late and will be subject to a 2% per month late charge.
3) The client agrees to assume the translator's costs of collecting late payments from the client, including reasonable legal fees.
4) If the client cancels or withdraws any portion of the project prior to the translator's completion of the service, then, in consideration of his scheduling and/or performing this service, the client will pay the portion of the fees equal to the percentage of total service performed, but in any event not less than 50% of the said fee.
5) Additional fees will be payable in the following cases: (a) investigation, inquiry, or research exceeding the routine translation is required because of ambiguities in the item(s) to be translated; (b) additional services are required because the client makes changes in the items to be translated after sending the signed PO;
or (c) the translator is requested to make changes in the translation after delivering it, because of the client's preferences as to style or vocabulary, and such changes are not required for accuracy.
6) The client will reimburse necessary out-of-pocket expenses incurred that are not part of the routine translation process, such as requested overnight document delivery service, long distance telephone and fax expenses to clarify document ambiguity, etc.
7) Upon receipt of the translation, the client will promptly review it, and within 10 days of receipt, will notify the translator of any requested corrections or changes. The translator will correct, at no cost to the client, any mistakes he may have made.
8) All knowledge and information expressly identified by the client in writing as confidential which the translator acquires during the term of a project regarding the business and products of the client will be maintained in confidentiality and, except as expressly authorized by the client in writing, will not be disclosed or published, and will not be authorized to be disclosed or published by others.
9) Upon the client's completion of all payments, the translation of the items described in the PO will be the property of the client. The translator has no obligation to take any steps to protect any copyright, trademark or other right of the client with respect to the translation, except as may be expressly otherwise provided. Notwithstanding the foregoing, the translator will have the right to retain file copies of the items to be translated and of the translation.
10) The client agrees to indemnify and hold the translator harmless from any and all losses, claims, damages, expenses or liabilities (including reasonable attorney fees) which he may incur based on information, representations, reports, data or product specifications furnished, prepared or approved by the client for the translator's use in the work performed.
11) The translator will have no responsibility whatsoever as to any changes in the translation made by other persons.
